Article 1 Member Services
The member services provided by ICRT consist of the following:

• Website members (free members). Services will be provided during the term of membership based on the current functions and conditions offered by ICRT. The actual services will be governed by the contents of the members-only webpages.
• eCard members (paid memberships). NT$100 handling fee will be charged for people who sign up / upgrade for a eCard membership to claim an ICRT membership card - "ICRT eCard".
• VIP members (paid members). Paid admission application will entitle a Member to VIP member services. The actual services will be governed by the contents of the members-only webpages.
• • NT$500 admission fees : ICRT will provide 500 ICRT Watts and an ICRT membership card - "ICRT eCARD" to VIP members free of charge. The term for the usage of the ICRT Watts is one year. After the ICRT Watts are consumed, values may continued to be added, and the term of each value added is also one year, provided that a 20% handling charge will be deducted if the ICRT Watts purchased on a value-added basis are to be returned within the term . The ICRT Watts are the benefits exclusively for the VIP members, not the consideration of the admission fees.
  • Rules for use of ICRT Watts :
    ICRT Watts can only be used on ICRT members-only webpages and may be exchanged for any article provided by ICRT, provided that they may not be exchanged for cash, assigned or used as other securities. Unused ICRT Watts will disappear automatically upon expiration of their terms without refund.
  • Rules for use of free ICRT Watts :
    Members have opportunities to participate in all kinds of activities organized by ICRT. The free ICRT Watts received in such activities may not be refunded, assigned or exchanged for cash. The restrictions on the use of such free ICRT Watts are the same as those set forth in Article 1, Paragraph II, Subparagraphs 1 and 2.
• The term of membership commences on the day when ICRT completes relevant system setups and sends a "registration confirmation" to a Member after an individual interested in applying for membership filled out the application form and completed the registration procedure and ends on the day when the member is disqualified or the services on members-only webpages are terminated. A Member shall enjoy a 7-day contract review period from the day when the "registration confirmation" is received. An applicant's right to use admission ICRT Watts will lapse automatically if the membership is withdrawn during the review period. For ICRT Watts which have been used, NT$1 will be charged for each ICRT Watts and shall be deducted upon refund of membership dues.

Article 3 Member Accounts, Passwords and Security

• After receiving the "registration confirmation" and becoming an formal ICRT member, a Member will receive an account name and a password. Maintaining the confidentiality and security of account names and passwords is the responsibility of the Members, who shall assume full responsibilities for any act conducted via the use of account names and passwords.
• The Members also agree to the following matters:
  • Member accounts or passwords may not be assigned, transferred, leased or lent for the use of any third party in any manner. Otherwise, in the event of unusability, falsified use by others and losses sustained by ICRT, the Members shall assume all legal liabilities and be liable for damage.
  • In the event of theft of a member account or password or of any other security issue, the Member shall notify ICRT immediately. Upon receipt of the Member's notification, ICRT may suspend the clearance for the account or password and issue a new account or password to the Member after verifying the above-mentioned matter. In case of the circumstance set forth in the preceding paragraph, ICRT will return the remaining gold coins to the Member, provided that this shall not apply if the account or password is stolen or usage security abnormally compromised due to reasons attributable to the Member.
  • A Member is advised to log out and stop the use of the account upon completion of each online session.

Article 4 Code of Conduct

• Members shall comply with the Terms of Membership, relevant regulations promulgated by ICRT, Internet custom and practices and relevant laws and regulations.
• A Members shall not:
  • engage in any damaging, stealing, vandalizing, hacking or any other act that damages the ICRT Website or contents of the Terms of Membership;
  • upload, post, publicize, or publicly transmit any slanderous, insulting, threatening, aggressive, indecorous, obscene, false, deceptive, gambling or other texts, graphics or any formats of file that violate social order or good social morals or law;
  • violate the provisions of the Terms of Membership or engage in any act which violates, impedes or interferes with the right of other Members to use the ICRT Website or which breaks the law;
  • engage in any commercial or profit-seeking act not allowed by the ICRT Website;
  • infringe the reputation, privacy, trade secrets, trademarks, copyrights, patents, other intellectual property rights and other rights of other people;
  • breach legal or contractual confidentiality obligations;
  • upload, post, transmit, or distribute any information containing computer viruses or any code that interrupts, damages or restricts hardware and software functions;
  • engage in illegal transactions or post false messages or messages conducive to crime;
  • distribute firearms, narcotics, illegal drugs, pirated software or other contrabands;
  • provide gambling information or entice others to participate in gambling in any way;
  • send advertising mails, spam mails, chain letters, illegal multilevel marketing information excessively;
  • hurt the underage in any way;
  • falsify sources of information or interfere with the identification of transmission sources in any way;
  • interfere with or interrupt members-only webpages or servers or networks that connect with members-only webpages or fail to comply with relevant requirements, procedures, policies or rules for connection with members-only webpages;
  • track or interfere with others or collect or store personal information of others for such purposes; or
  • engage in other acts ICRT deems inappropriate with justified reasons.

If a Member engages in any of the above-mentioned acts, ICRT will notify the police or prosecution agencies and fully cooperate with crime investigation as soon as such act is detected. If a Member is found to engage in such criminal act via services provided in the ICRT Website, ICRT should be notified as soon as possible to maintain a sound network order.

Article 5 Obligations of Website

• ICRT shall not be responsible for reviewing information uploaded, transmitted or input by Members at the ICRT Website or information transmitted via the ICRT Website.
• All kinds of member services provided by ICRT are provided only based the current functions and status of such services, and ICRT does not provide any guarantee of any kind or characteristic with respect to any specific requirements or needs of the Members, including but not limited to security, integrity or accuracy.
• The descriptions of the contents, texts and graphics of commercials and advertisements, display samples or other sales information posted by ICRT are designed and provided by relevant advertisers or advertising agencies or product or service providers. The Members shall weigh and determine for themselves the accuracy and credibility of each advertisement, and ICRT does endorse such commercials or advertisements. If a Member makes any purchase based on the contents of any advertisement, the transaction relationship only exists between the Member and the merchant (advertiser), which has nothing to do with ICRT. The Members shall request all such providers or individuals to provide detailed prior explanations or descriptions of the nature, contents, transportation or guarantees or warranties of the goods or services or other trading objects. For Members' disputes arising from the above-mentioned sales, services or other transactions, such providers or individuals shall be approached for remedies or resolutions. ICRT hereby states that it will never intervene in any sales, services or any other transactions between the Members and the providers or individuals and will not provide any guarantee for the goods or services or other trading objects received by the Members. If the Members engage in the above-mentioned purchases, services or other transactions at a shopping website operated by ICRT, the rights and obligations of both parties will be separately governed by the liability agreement of such website.
  IV. With respect to services such as chat rooms, message boards or forums provided by ICRT, Members may voluntarily broadcast messages or publicize their views and comments. However, these contents do not represent ICRT's positions, and the publishers shall be solely liable. ICRT is not liable for the comments of such publishers and does not guarantee the authenticity of their signatures, either. ICRT shall have the final discretion regarding the above-mentioned contents and behavior of publication and may delete inappropriate contents published by the Members at the ICRT Website without notice.
• If websites operated by other providers or individuals or other network resources are linked via members-only webpage directories, the websites operated by other operators, which fall beyond ICRT's control and responsibility, shall be the sole responsibilities of such operators. Therefore, ICRT does not guarantee the quality, accuracy, timeliness, efficacy, integrity and compliance of the contents of such websites. The Members shall exercise their own judgment and choose the most appropriate contents for viewing. The websites operated by such operators or individuals do not form any employment, empowerment, agency, partnership or other similar relationship with ICRT for this reason. ICRT shall not be liable for any damage arising from a Member's linkage with a non-ICRT website.
• Members-only webpages may be occasionally interrupted or out of service, which may cause the Members to suffer from inconvenience of use, loss of data, errors, alteration by others or other economic losses. The Members are advised to take protective measures when using the services. ICRT shall not be liable for any damage incurred by the Members due to their use of (or inability to use) members-only webpages, except for intentional or gross negligence.
• ICRT is not responsible for guaranteeing the software or data downloaded by Members by the use of members-only webpages or other websites linked via members-only webpages. The Members shall weigh and determine for themselves the appropriateness, efficacy, accuracy, integrity, and potential infringement of others' rights of the above-mentioned software or data to avoid losses (such as damage to your computer systems or losses of stored data, etc.). ICRT shall not be liable for any such loss.

Article 6 Intellectual Property Rights

• The intellectual property rights to the contents provided by the ICRT Website or linked websites (including but not limited to works, graphics, files, information, data, websites structures, arrangements of website screens and webpage design) shall vest with the Taipei International Community Cultural Foundation or other rights holders pursuant to law, and no Member or any user shall have any right thereto. Unless with prior written consent or a license from ICRT or lawful rights holders, no person may engage in any form of use of the contents or information provided by the ICRT Website or any linked website, including but not limited to modification, use, reproduction, public broadcast, adaptation and editing, release, duplication, generation of profits, lending, distribution, publication, alteration, public display, reverse engineering, decomposition or disassembly or any act that harms ICRT or linked websites.
• When the Members use services provided by the ICRT Website to upload, transmit or input any information, Members shall be deemed to have authorized ICRT to reproduce, publicly transmit, modify, edit or use such information in other ways or to sublicense such information for the use of a third party at the ICRT Website. The Members shall guarantee that such information comes with lawful rights or has been lawfully licensed and does not infringe the intellectual property rights of others. If the Members do not have lawful rights, please do not upload, transmit or input such information to the ICRT Website, or the Members will be criminally and civilly liable for infringement of intellectual property rights.
• The Members understand and agree that ICRT and ICRT Mall are registered trademarks of the Taipei International Community Cultural Foundation and protected under the Trademark Law and the Fair Trade Law. Such trademarks may not be used by the Members in any way without the prior written consent of the Taipei International Community Cultural Foundation.

Article 7 Disclaimers
The Members understand and agree as follows:

• ICRT does not provide any explicit or tacit guarantee regarding members-only webpages, including merchantability or fitness for specific purposes and noninfringement.
• ICRT does not guarantee the following matters: (i) members-only webpages will meet your needs, (ii) members-only webpages are free from interference, can be timely provided and are secure, reliable or error-free, (iii) the results obtained from the use of members-only webpages are accurate or reliable, (iv) any product, service, information or other data purchased or obtained by the Members from members-only webpages will meet your expectations, and (v) errors in any software will be corrected.
• The Members shall consider for themselves and assume all risks regarding whether to download or obtain any data by the use of members-only webpages. The Members shall assume full liabilities for any damage or data loss suffered by the Members' computer systems due to the download of any such data.
• Written or oral recommendations and information obtained by the Members from members-only webpages shall not constitute any guarantee of ICRT or of members-only webpages. V. ICRT and/or the Taipei International Community Cultural Foundation and the managerial officers or employees thereof shall not be liable for any direct, indirect, consequential, special, derivative or punitive damage, including but not limited to damage to profitability, goodwill, use or data or other intangible losses caused by the following matters:
  (i) use or unable to use members-only webpages;
  (ii) any goods, data, information or services purchased or obtained via or through members-only webpages, or purchasing cost for replacement goods or services arising from the receipt of messages or engagement of transactions;
  (iii) unauthorized access or modification of member's transmission or data by others;
  (iv) any statement or act of a third party regarding members-only webpages; or
  (v) any matter relating to members-only webpages.

Article 8 Membership Cancellation and Service Termination

• ICRT will disqualify a Member and terminate services in any of the following circumstances:
  (1) The Members violate the contents of the Term or other relevant requirements.
  (2) ICRT members-only webpages stop services.
  (3) Force majeure, such as natural or man-made disasters or diseases, has occurred.
• When ICRT cancels or terminates services due to a Member's behavior, the Member may not request to refund relevant fees. However, if the Member does not violate relevant requirements as substantiated by actual evidence, a request may be issued to ICRT for reconsideration of the matter. III. ICRT may adjust or terminate the services of members-only webpages based on its operating conditions or needs. If ICRT terminates services, such termination shall be publicized at members-only webpages two months in advance.

Article 9 Language and Right to Modify Terms of Membership

• If necessary, ICRT may prepare an English version of this contract for the Members' reference. In the event of any contradiction between the Chinese-language and English-language versions of this contract, the Chinese version shall control.
• ICRT reserves the right to add, modify or cancel the relevant systems or functions within member services in whole or in part.
• ICRT may amend the provisions of the Terms from time to time based on factual needs, and the terms publicized on the relevant webpages of the ICRT Website shall control without separate notice to users. Except as otherwise stated, such amendment shall go into effect on the day of promulgation, and the users shall comply with the Terms so modified.

Article 10 Service Suspension or Stoppage

• ICRT will suspend or stop the services in whole or in part in any of the following circumstances, and any direct or indirect damage sustained by the users shall be assumed by the users:
  (1) relocation, replacement, upgrade, maintenance or repair of relevant software, hardware and equipment;
  (2) a user's violation of government laws and regulations or the Terms; or
  (3) service stoppage or interruption due to reasons not attributable to ICRT.
• For service stoppage or interruption due to reasons attributable to ICRT, unused gold coins of the Members may be refunded unconditionally, provided that free gold coins are not refundable.

Article 11 Governing Law and Jurisdiction

• The interpretation, establishment and application of this Terms of Membership shall be governed by the laws and regulations of the Republic of China.
• All lawsuits arising from this Terms of Membership shall be heard by the Taipei District Court as the court of first instance.
